A Limited Liability Company (LLC) is a business arrangement created by state statute. LLCs offer members the advantage of limited personal liability for debts and actions of the company. Another advantage of an LLC is that assets and taxes pass through to the members instead of remaining with the corporation. This allows LLCs to prevent taxes being assessed twice on the same earnings. Single-member LLCs, those with only one owner, are also allowable by Florida law. This permits management flexibility as well as asset liability protection for sole proprietors. |

Step 1 Ensure the name you have picked for your Florida LLC is available. Florida law requires that the name end with the words "Limited Liability Company," the abbreviation "L.L.C.," or the designation "LLC." You can search through a list of existing names on the Sunbiz name database. Find a link in Resources. Step 2 Fill out Article I of the Articles of Organization form. This will be the section where you write the chosen name for your LLC. Step 3 Complete Article II of the Articles of Organization form. In this section, you will provide the address of the physical location of the business as well as any forwarding mailing address. A post office box is not acceptable as the principal office address. Step 4 Designate a registered agent for your LLC on Article III of the Articles of Organization. The registered agent must be a person or entity other than the LLC which is able to accept legal forms, such as a service of process. Step 5 List the names of each owner, partner or member on Article IV of the Articles of Organization. Step 6 Write the effective date of incorporation of your LLC on Article V of the Articles of Organization. According to Florida law, this date cannot be more than five business days prior to or 90 days after the date of filing. Step 7 Mail the completed Articles of Organization along with the cover letter provided to you with the forms. You must also include a check for the filing fee, which as of 2009 is $125 for a basic registration, $135 if you wish to receive a copy of the Certificate of Status, $155 for a certified copy or $160 for a Certificate of Status and a certified copy. |
